Post title: Group Company Secretary & Compliance Officer

Job Description
Objective
Ensuring that our group companies comply with the requirements of company legislation including notably the Companies Ordinance and the Beneficial Ownership Act. Maintaining company records for the group and taking the lead in the organization of meetings. Acting as the focal point of liaison between the company and its shareholders, the Registrar of Companies, the Financial Intelligence Unit (FIU) and bodies requiring KYC documents.
Summary of duties:Â Â Â Â Â Â
- Maintain familiarity with company legislation incl. the key requirements of the Companies Ordinance and the Beneficial Ownership Act, whilst monitoring changes in company legislation and the regulatory environment and taking appropriate action and informing the Chairman and board of directors accordingly.
- Ensure that our group companies are up-to-date and aligned with legal requirements.
- Maintain and update the statutory registers as required by Seychelles legislation, notably Register of Members, Register of Directors and Register of Beneficial Owners.
- Maintain both soft and hard copies files for all secretarial related documents.
- Ensure each group company holds an AGM within 15 months of the date of the previous AGM, preparing and distributing notices, agendas and proxy forms in the prescribed format to shareholders with the requisite notice.
- File Annual Returns for each group company at the Registration Division.
- Ensure dividends are paid to shareholders in a timely manner.
- Ensure all fees are paid to the Registrar of Companies in a timely manner including filing fees, annual fees and stamp duty.
- Prepare and distribute agendas for board meetings with the requisite notice.
- Prepare board resolutions when necessary (opening/closing of bank accounts, changes in signatories, etc)
- File Particulars of Directors and Company Secretary whenever a change takes place within 15 days of the change.
- Prepare and distribute minutes for board meetings and AGMs in a timely manner.
- Arrange share transfers as required, obtaining auditor’s valuations, preparing forms, calculating stamp duty, filing at the Registration Division, cancellation of old certificates and issuance of new certificates. If necessary, affidavits and letters of indemnity for lost shares will also be prepared.
- Arrange KYC documentation and other information for banks and other parties, as required, including certification.
- Communicate with external professionals involved in corporate governance, as required including auditors and lawyers.
- Take responsibility for the security and accuracy of important company documents, including the Certificates of Incorporation, share certificates, memorandum and Articles of Association.
- Act as Resident Agent for group companies, as defined by the Beneficial Ownership Act, ensuring that the company Beneficial Ownership Register and the information filed on the FIU website are kept up to date.
- Any other related company secretarial duties as may be required from time to time such as documentation for creation of a new company, liquidation of a company no longer required, share allotments, rights issues, change in company name or Registered office, calling of an Extraordinary General meeting, etc.
