The Bank is seeking to recruit a suitably qualified, experienced, and highly motivated Legal Consultant to provide legal, governance, and compliance support to the institution.
Job Description
Role Purpose
The Legal Consultant will provide strategic legal advice and guidance to the Chief Executive Officer, Board, Management, and departmental heads to ensure that the Bank’s operations comply with all applicable laws, regulations, governance standards, and internal policies. The successful candidate will also support contract management, dispute resolution, debt recovery matters, and institutional governance initiatives.
Key Responsibilities
Corporate Governance and Ethics
- Provide legal advice on corporate governance, ethics, conflicts of interest, and regulatory compliance matters.
- Advise the Board, Board Committees, CEO, and Management on legal, governance, and procedural matters.
- Oversee regulatory filings, statutory disclosures, and compliance obligations.
Strategy and Policy
- Interpret and advise on legislation, regulations, and statutory requirements affecting the Bank’s operations.
- Draft, review, and update policies, procedures, and legal frameworks.
- Assist in developing governance and compliance training materials and support staff awareness initiatives.
Contracts and Agreements
- Review, draft, negotiate, and monitor contracts, agreements, and legal documentation.
- Provide legal guidance on lending, procurement, partnership, and service agreements.
- Conduct property and company searches and review legal documentation related to financing transactions.
- Liaise with lawyers, notaries, government agencies, and other stakeholders to protect the Bank’s interests.
External Relations
- Review and negotiate borrowing, partnership, and project-finance agreements.
- Draft and vet partnership, service, and other commercial agreements with external parties.
Recovery and Case Resolution
- Advise on dispute resolution and legal recovery strategies.
- Draft and negotiate settlement and repayment agreements.
- Coordinate with external legal counsel on debt recovery and litigation matters.
- Prepare reports for Management, Executive Committees, and the Board.
- Represent the Bank in legal proceedings where required.
Duration of Contract
The consultancy engagement is for a fixed period of six (6) months and is intended to provide additional capacity and specialist support to the Bank’s Legal Unit.
Job Requirements
Qualifications/Experience
Applicants should possess:
- Bachelor’s Degree in Law (LL.B); a postgraduate qualification in Law will be an advantage.
- Admission to practice law in Seychelles, or eligibility to do so.
- A minimum of five (5) years’ relevant experience in corporate, commercial, banking, regulatory, or public-sector legal practice.
- Sound knowledge of corporate governance, contract law, regulatory compliance, and dispute resolution.
- Excellent legal drafting, negotiation, analytical, and communication skills.
- Ability to work independently and manage multiple priorities within agreed deadlines.
